Proposed agreement

A 12-month development retainer between BridgePoint and Peter Knight.

Peter — thank you so much for the offer. Below is the agreement set out clause by clause. Work through each section, then sign at the end. Nothing is committed until you sign.

Retainer: $150,000; EX GST
Term: 12 months; from signing
Dev time: 5 hrs; per week
Payment: Upfront; non-refundable

The commercial terms

What is being purchased, and what it costs.

Retainer fee

$150,000 EX GST service retainer contract.

Paid upfront

The payment is paid upfront.

Non-refundable

The payment is non-refundable.

What the payment secures

The payment secures 12 months of developer coding output for Peter Knight (named entity).

What BridgePoint delivers

Scope of the work and how it is fulfilled.

Weekly delivery

BridgePoint will deliver 5 hours per week of Dev time, including oversight from BridgePoint Directors.

Fulfilment discretion

BridgePoint has full discretion around fulfilment of the obligations of this contract.

Additional time

Additional time would need to be agreed and quoted independently of this agreement.

Section 3 of 4

Staff and employment

For 100% clarity on who employs whom.

No employment relationship

For 100% clarity: should BridgePoint hire a person, they are not the employee of Peter Knight, and all matters relating to their employment fall on BridgePoint.

Staff management

Any and all staff management, hiring, holidays etc. are BridgePoint obligations.

Term and independence

How the agreement ends, and what it does not cover.

End of term

At the end of the term the contract will either be re-signed or terminated by either party.

Independent of Good Directions

This contract is understood to be independent of Good Directions.
